Terms of Use

These are the terms and conditions (Terms) that apply when you access the MediShout website available at https://www.medishout.co.uk/ (Website) and/or use the MediShout digital operational technology (Application).

The Website and the Application are operated by MediShout Ltd, a company registered in England and Wales (our company number is 08357958), referred to in these Terms as MediShout, we, us or our.

MediShout’s Application is built to aggregate an organisation's departments, helpdesks, equipment suppliers and other operational service providers into a single space, improving operational efficiency and patient care. We are not the manufacturer, supplier, or repairer of equipment. We don't fix equipment or make clinical decisions.

Our Application is for business use only and so you may only use the Application in your capacity as: (a) an employee, contractor or authorised representative of the Organisation that has granted you access to the Application (End User), where Organisation means the hospital, NHS trust, or other healthcare or commercial body that has been given access to the Application by a Supplier, or by MediShout directly; or (b) an employee, contractor or authorised representative of a Supplier, where Supplier means the company or service provider that has an agreement with MediShout to use the Application (Authorised User). Where these Terms refer to you, they apply to visitors to our Website, End Users and Authorised Users, unless the context requires otherwise.

1. Access to Our Application

MediShout is available at https://app.medishout.co.uk/ and as a mobile app for iOS and Android (the Application).

If you are an End User, you have access because your Organisation has been deployed onto the Application. If you are an Authorised User, you have access because the Supplier you work for has been set up on the Application by MediShout on the basis of the contract in place between MediShout and that Supplier.

By ticking the acceptance box on registration for the Application, you confirm that you have read and agree to these Terms, our Privacy Policy and Cookie Policy, and that your Organisation or Supplier has authorised you to use the Application.

The Application lets you do the things your Organisation, or the Supplier you work for, have configured it for. This may include actions such as:

  • logging operational requests (such as equipment faults, servicing needs and purchasing requests) using tailored request forms, which are called Shouts;

  • seeing the status of Shouts you have logged on your operational dashboard;

  • messaging the Supplier's helpdesk team about each Shout;

  • responding to End User Shouts;

  • accessing the Application from your work device;

  • scanning QR codes on equipment or assets to log Shouts or access information; and

  • using the Application for any other features made available to you by your Organisation or Supplier.

You will have role-based access and so depending on your role you may also have access to dashboard tools to monitor, manage, and provide resolution to requests across your Organisation. Your view of the Application will be different if you are an End User or an Authorised User and how you have been set up on the Application by your Organisation or the Supplier you work for.

The Application can be connected to your Organisation's existing software solutions (such as helpdesk systems) via APIs, where those third-party solutions support open API integration. We cannot guarantee the availability of integrations where a third-party system does not support this.

In summary, we provide the Application that connects you; each Organisation, or their Suppliers, handle the actual repair, loan, service or other operational activity.

2. Your account

How you register. To use our Application, you must create an account and verify your email address, the one you hold with your Organisation or the Supplier you work for. All user accounts are linked to an Organisation or Supplier, and view permissions can be adjusted in line with your role. This means you must use your official work email - we can't set up accounts with personal email addresses. We will send you a verification email and you will need to verify your email before you can use the Application.

Keeping your login secure. You are responsible for keeping your password and login details confidential. Where we make multi-factor authentication (MFA) available, you must enable and use it. MFA adds an extra layer of security to your account and helps protect against unauthorised access. You are also responsible for all activity on your account. If you think someone has accessed your account without permission, tell us immediately at support@medishout.co.uk. We will not be liable for any loss, cost, or damage if you fail to keep your account secure and/or if you fail to enable MFA where it is available.

What happens if you leave. If you are an End User and you leave your Organisation or your work email is deactivated, your account access will be suspended. We won't be able to reactivate it. If you rejoin the same Organisation later, you'll need to register again. The same applies if you are an Authorised User and you leave the Supplier you work for.

Accurate information. You must make sure the information you give us is accurate and complete. If anything changes, please update your profile immediately.

3A. How the Application works: End Users

Raising a Shout. Where you are an End User, and you need to submit an operational request or report an issue, you do so by raising a Shout. You provide the relevant details as prompted by the form in the Application.

The Shout is then routed to the appropriate team at your Organisation or the Supplier based on the workflow your Organisation has configured.

What happens next. The relevant Supplier or team is responsible for responding to your Shout and resolving it. They determine their own response times and how they will action it. MediShout is responsible for making sure the Application works and that your Shout gets to the right place.

MediShout is not responsible for:

  • how quickly the relevant Supplier or team responds;

  • whether or how a Shout is resolved;

  • the quality or outcome of any service, repair, loan, supply or any other operational or equipment-related support;

  • equipment failures or breakdowns;

  • clinical outcomes and/or patient safety.

Shout messaging. You can message your Organisation’s or the Supplier’s team directly about each Shout. This is for professional communication about the request only. You can ask questions about the Shout, provide additional information requested by your Organisation or the Supplier, get updates on progress and coordinate next steps.

Messaging is not for:

  • personal or non-work matters;

  • complaints about the Supplier (contact them directly or escalate through your Organisation);

  • anything unlawful, abusive, or discriminatory; or

  • sharing any health-related, medical and/or clinical information, unless requested specifically in the Application.

We reserve the right to monitor messages and activity on the Application at our sole discretion. If we consider that your use of the Application warrants suspension, we may suspend your account with or without notice.

3B. How the Application works: Authorised Users

Receiving Shouts. Where you are an Authorised User, you will receive Shouts that have been logged by End Users and routed to your team based on the configured workflow. You will be notified of incoming Shouts through the Application. You are responsible for actioning Shouts in accordance with obligations of the Supplier you work for to the relevant Organisation.

What you are responsible for. You and the Supplier you work for are responsible for responding to Shouts assigned to your team, determining how and when to action them and updating their status in the Application as work progresses. Accurate status updates are important for End Users and their Organisations who rely on the Application to track the progress of their requests.

MediShout is not responsible for:

  • how quickly you or your team respond to a Shout;

  • whether or how a Shout is resolved;

  • the quality or outcome of any service, repair, loan, supply, or any other operational or equipment-related activity you carry out; or

  • any act or omission of you or the Supplier you work for in connection with a Shout.

Shout messaging. You can message the End User who logged a Shout directly through the Application. This is for professional communication about the Shout only. You may request additional information from the End User, provide updates on progress, and coordinate next steps.

Messaging is not for:

  • personal or non-work matters;

  • anything unlawful, abusive, or discriminatory; or

  • sharing any health-related, medical, and/or clinical information, unless this is strictly necessary and specifically requested through the Application.

Dashboard and reporting tools. Depending on your role, you may have access to dashboard and reporting tools that allow you to monitor, manage and report on Shouts across one or more Organisations. You must use these tools only for the purposes for which they have been made available to you and in accordance with these Terms.

Confidentiality. When you use the Application, you may have access to information about Organisations, End Users and their operations that is confidential or commercially sensitive. You must not use that information for any purpose other than responding to and managing Shouts assigned to you or your team through the Application, you and must not disclose it to any third party. This obligation survives termination of your account.

We reserve the right to monitor messages and activity on the Application at our sole discretion. If we consider that your use of the Application warrants suspension, we may suspend your account with or without notice.

4. What you must not do

Patient data. You must not enter any clinical information or patient identifiers into MediShout unless the Application specifically asks for it. Our Application is designed for operational purposes only. There are limited circumstances where patient personal data, including clinically relevant information, is required to support an operational request, such as portering services within a hospital. Outside of these circumstances, MediShout does not require the input of clinical information and/or patient identifiers unless a workflow has been specifically designed to include it.

If you are not sure what data should be entered, check with your Organisation’s or your Supplier’s Data Protection Officer, before logging the information on the Application.

Patient data includes (but is not limited to):

  • patient names;

  • patient ID numbers;

  • medical record numbers;

  • NHS numbers;

  • dates of birth;

  • hospital numbers; and/or

  • any other information that could identify a patient as an individual or their medical history.

You cannot edit or delete data once it has been submitted through the Application. If you accidentally log patient data, contact your relevant Data Protection Officer and MediShout immediately at support@medishout.co.uk.

We will follow our data breach response procedure and notify the relevant authorities if required.

Other things you must not do. You must not, and must not permit any other person to do any of the following in connection with the Application and/or the Website (where indicated):

  • rent, lease, sub-licence, loan, or otherwise make available any part of the Application to any third party without our prior written consent;

  • copy or reproduce the Website or the Application or any part of it, and/or translate, merge, adapt, vary, alter, or modify the Application, or combine or incorporate it into any other software or system;

  • disassemble, decompile, reverse engineer, or create derivative works based on the Application or any part of it, or attempt to do any of those things;

  • use the Application or the Website in any unlawful manner, for any unlawful purpose, or in any manner inconsistent with these Terms and/or transmit or post any material that is defamatory, offensive, abusive, obscene, threatening, or otherwise objectionable;

  • share your login credentials with any other person or allow any other person to access your account;

  • access or attempt to access any part of the Website or the Application you are not authorised to use;

  • impersonate any person or misrepresent your role, identity, or affiliation whether on the Website or the Application;

  • infringe the intellectual property rights of MediShout or any third party through your use of the Website or the Application;

  • use the Application to develop, assist in developing, or benchmark any competing product or service; and/or

  • use the Application for any purpose other than in the course of your work for the operational reasons for which your Organisation or the Supplier you work for, has configured it.

If you breach any of these restrictions, we may suspend or terminate your account immediately and without notice.

5. What MediShout commits to do

Keep the Application running. We use commercially reasonable efforts to keep the Application available and working. We can't guarantee it will never go down - internet disruptions, third-party issues, and force majeure events can affect any online service. If you have questions or run into technical problems with the Application, such as if the Applications fails to function substantially as it should (a Fault), please contact MediShout directly. Even where you access the Application through your Organisation or a Supplier, MediShout is your point of contact for all Faults and technical support.

Tell you about maintenance. When we need to do planned maintenance or upgrades, we'll notify you in advance where possible. We aim to schedule maintenance outside normal business hours.

Protect your personal data. Under data protection legislation, we are required to provide you with certain information about who we are, how we process the personal data of those individuals who use the Website and/or the Application and for what purposes, and those individuals' rights in relation to their personal data and how to exercise them. This information is provided in our Privacy Policy and it is important that you read that information. We are ISO 27001 certified and Cyber Essentials certified and we use industry-standard security measures to protect your personal information and the Shouts you log. See our Privacy Policy for full details of how we protect your personal data.

Aggregated data. We may use anonymised and aggregated data derived from your use of the Application for internal purposes, including improving the Application, analysing usage patterns, and developing new features. This data does not identify you personally.

Support you. If you have questions or run into problems using the Application, such as in the event of a Fault, please contact us at support@medishout.co.uk to report it (a Fault Call). Remote support for Faults is available Monday to Friday, 09:00–17:00 UK time, by phone and email. Fault Calls submitted outside of these hours will be received, but no action can be guaranteed until the next business day. On-site assistance at your location will only be provided by MediShout where we are unable to resolve a Fault Call by remote support.

Once a Fault Call has been logged, we will use our best endeavours to respond and then work to resolve the issue within the timeframes set out below. Resolution times are best efforts only and may be affected by factors outside our control, including the time required to submit a new version of the Application to the Apple App Store or Google Play Store (which typically adds 1-2 days to resolution for issues requiring an app update:

6. Account Suspension

We may suspend your account, with or without notice, if:

  • your work email is deactivated;

  • you leave your Organisation or the Supplier you work for;

  • you breach these Terms;

  • we are required to do so by law;

  • your Organisation or the Supplier you work for asks us to; and/or

  • we consider it appropriate to do so in our sole discretion (we will exercise this discretion reasonably and proportionately).

When your account is suspended you will lose access to the Application. You won't be able to log in or see Shouts.

7. Intellectual property

What we own. MediShout Ltd is the owner or licensee of all intellectual property rights in the Website and the Application, including all software, code, algorithms, databases, designs, interfaces, logos, trademarks, and content that we have created or compiled. These are protected by copyright, trade mark, database rights, and other intellectual property laws. We grant you a non-exclusive, non-sublicensable, non-transferable, limited, revocable licence to use the Website and the Application in the United Kingdom for the purposes set out in these Terms only, and subject to these Terms. Your use of the Website or the Application does not give you any ownership of, or rights in, our intellectual property beyond the limited right to use the Application as set out in these Terms.

Copyright protection. The Website, the Application and all content within them (excluding content you input) is protected by copyright. You must not: (i) copy, reproduce, or extract any part of the Website or Application or its content; (ii) publish, distribute, or communicate any part of the Website or Application to the public; (iii) create any derivative works based on the Application or its content; and/or (iv) remove or alter any copyright notice or other proprietary marking.

Trademarks. MediShout, and the MediShout logo, are trademarks of MediShout Ltd (whether registered or unregistered). You must not use our trademarks without our prior written consent. Nothing in these Terms grants you any right to use our trademarks.

Other ownership. Any content you input into MediShout (equipment descriptions, fault details, notes), remains the property of your Organisation or the Supplier you work for.

Your licence to us. By using MediShout, you grant us a non-exclusive, royalty-free, worldwide licence to use, store, process, and display the content you input solely to the extent necessary to provide the Application to you and your Organisation or the Supplier you work for. We will not use your content for any other purpose without your consent.

Feedback. If you provide us with any suggestions, ideas, comments, or other feedback about the Application (Feedback), you agree that we may use that Feedback freely and without any obligation to you. To the extent that you own any intellectual property rights in the Feedback, you assign to us all intellectual property rights in any Feedback you provide. We are not required to treat Feedback as confidential or to compensate you for it.

8. Our liability

Supplier delivery. MediShout operates an Application that connects Organisations with their Suppliers and other teams. MediShout is not responsible for the delivery, quality, or outcome of any services provided by Suppliers. If you have a claim arising from a Supplier's failure to respond, repair, or service equipment, that claim is against the Supplier, not MediShout.

Items we are not liable for. To the fullest extent permitted by applicable law, we are not liable for any loss or damage arising from your use of the Application or the Website, including but not limited to:

  • how quickly or slowly any Supplier, Organisation, or their respective staff, respond to Shouts you log;

  • whether, how, or by whom a Shout is resolved;

  • the quality or outcome of any service or other operational activity;

  • equipment failures or breakdowns;

  • clinical outcomes or patient safety issues;

  • any loss arising from using the Application in a healthcare or clinical setting or from any operational decision made in reliance on information logged or communication through the Application;

  • loss or corruption of data;

  • lost profits, lost revenue, or loss of anticipated savings;

  • loss of goodwill or damage to reputation;

  • any business losses;

  • any special, indirect, exemplary, punitive, or consequential loss; and/or

  • any loss arising from events outside our reasonable control.

This applies even if we have been advised of the possibility of such losses.

Our liability cap. To the extent permitted by applicable law, our total liability to you under or in connection with these Terms is limited to £250.

What we are liable for. Nothing in these Terms limits or excludes our liability for:

  • death or personal injury caused by our negligence;

  • fraud or fraudulent misrepresentation and/or

  • any other liability that cannot be excluded or limited by applicable law.

Third-party services and links. The Application may connect to or display links to third-party services, websites, or platforms, including Supplier portals and helpdesk systems. Those services are not operated by us and are not covered by these Terms. We are not responsible for their content, availability, or privacy practices. You use them at your own risk and should review their terms before doing so.

9. Term and termination

When these Terms apply. These Terms take effect when you register for an account and tick the acceptance box. They continue to apply for as long as you have an active account.

Termination. Your account and these Terms will terminate if:

  • your work email is deactivated;

  • your Organisation, or the Supplier you work for, notifies us that you have left your Organisation or the Supplier;

  • your Organisation's agreement with MediShout or the relevant Supplier ends;

  • the agreement between the Supplier you work for and MediShout ends; and/or

  • we close your account under the suspension provisions in these Terms.

Your right to delete your account. You may request deletion of your account at any time by contacting us at support@medishout.co.uk. We will action your request within a reasonable time and in accordance with our Privacy Policy.

10. Changes to the Application and these Terms

We may update or improve the Application at any time. We won't intentionally degrade core functionality.

We may update these Terms at any time on notice to you. We will give you notice of any changes by email or by a notification within the Application. Your continued use of the Application following deemed receipt of that notice shall constitute your acceptance of the updated Terms. If you do not wish to accept the updated Terms, you must immediately stop using and accessing the Application.

11. General

Governing law and jurisdiction. These Terms are governed by the laws of England and Wales. Any dispute will be dealt with by the courts of England and Wales.

No warranty. To the fullest extent permitted by applicable law, the Application is provided 'as is' and 'as available'. We make no warranty or representation, express or implied, that the Application will be uninterrupted, error-free, free from bugs or viruses, or fit for any particular purpose. You are responsible for ensuring the Application meets your requirements before using it.

Events outside our control. We will not be liable or responsible for any failure to perform, or delay in performance of, any of our obligations under these Terms that is caused by an (Event Outside Our Control). An Event Outside Our Control means any act or event beyond our reasonable control, including without limitation failure of public or private telecommunications networks, acts of God, natural disasters, pandemic or epidemic, fire, flood, severe weather, power failure, internet or network outages, cyber attacks, acts of terrorism, industrial action, or any act or omission of a government or regulatory authority.

If an Event Outside Our Control takes place that affects the performance of our obligations: (i) our obligations under these Terms will be suspended and the time for performance of our obligations will be extended for the duration of the Event Outside Our Control; and (ii) we will use our reasonable endeavours to find a solution by which our obligations may be performed despite the Event Outside Our Control.

Assignment. We may transfer our rights and obligations under these Terms to another company, for example, in connection with a merger, acquisition, or sale of our business. We will give you reasonable notice in writing if this happens. Your rights under these Terms will not be affected. These Terms are personal to you. You may not transfer, assign, or sub-licence your rights under these Terms to any other person.

Severance and waiver. Each of the conditions of these Terms operates separately. If any court or competent authority decides that any of them are unlawful or unenforceable, the remaining conditions will remain in full force and effect. A delay or failure to exercise, or the single or partial exercise of, any right or remedy does not waive that or any other right or remedy, nor does it prevent or restrict the further exercise of that or any other right or remedy.

Entire agreement. For End Users and visitors to our Website, these Terms, together with our Privacy Policy and Cookie Policy, set out the entire agreement between us. They replace any earlier agreements or understandings. For Authorised Users, these Terms apply in addition to, and do not replace, any agreement between MediShout and the Supplier you work for.

13. Version control

These terms are version 1.3 and are valid from 00:01hrs on 07th August 2026. They replace and supersede all other Terms of Use associated with MediShout Ltd.
