The information included in the statement refers to the financial year 2025/2026. This statement is made in pursuance of Section 54(1) of the Modern Slavery Act 2015 and will be reviewed for each financial year.

This Modern Slavery Statement has been reviewed and approved by the board of directors.

1. Purpose

The purpose of this document is to establish and facilitate the development of controls that will aid the detection and prevention of modern slavery and human trafficking within our organisation, our customers, and business partners. The intention is to promote consistent cultural behaviour by providing guidelines and assigning responsibility for the development of controls and conduct of any assessment, review and investigation.

This statement applies to MediShout Ltd (referred to in this statement as ‘the Organisation’).

2. Scope

This statement applies to any instance, or suspected instance involving employees as well as board members, consultants, contractors, suppliers and any other parties with a business relationship with our organisation. Any investigative action required will be conducted without regard to length of service, position or relationship to the company.

3. Definitions

Modern slavery is when someone loses their freedom and is controlled and exploited by another person, or people, for personal or commercial gain.

It is an umbrella term for many forms of slavery, including:

  • Human trafficking;

  • Forced work, through mental or physical threat;

  • Being owned or controlled by an employer through mental or physical abuse or the threat of abuse;

  • Being dehumanised, treated as a commodity or being bought or sold as property;

  • Being physically constrained or to have restrictions placed on freedom of movement.

The Modern Slavery Act is a globally leading piece of legislation, which sets out a range of measures on how modern slavery and human trafficking should be dealt with in the UK. While not all of the Act is directly relevant for business, section 54, titled ‘Transparency in supply chains’ impacts the corporate sector, obliging businesses to check and verify the robustness of their supply chains.

4. Our Commitment

MediShout is committed to the principles of the Modern Slavery Act 2015 and the abolition of modern slavery and human trafficking. We adopt zero tolerance to modern slavery and human trafficking and all forms of corruption and bribery directly and indirectly associated with these criminal acts.

As an equal opportunities employer, we're committed to creating and ensuring a non-discriminatory and respectful working environment for our staff. We want all our staff to feel confident that they can expose wrongdoing without any risk to themselves.

The prevention, detection and reporting of modern slavery in any part of our organisation or supply chain is the responsibility of all those working for us or on our behalf. Workers must not engage in, facilitate or fail to report any activity that might lead to, or suggest, a breach of this policy. Our Whistleblowing Policy provides the reporting line we should take when identifying an issue.

Our recruitment and people management processes are designed to ensure that all prospective employees are legally entitled to work in the UK and to safeguard employees from any abuse or coercion.

We do not enter into business with any organisation, in the UK or abroad, which knowingly supports or is found to be involved in slavery, servitude and forced or compulsory labour.

5. Our Organisational Structure

MediShout is a one-stop app for resolving operational issues, digitally connecting hospital teams with healthcare suppliers to improve patient care, providing a software-as-a-service model.

Our UK registered company is partly owned by the NHS, and has been built by a team of healthcare professionals and industry leaders. We integrate with global healthcare suppliers and helpdesk systems, to improve operational efficiency and patient care.

Our diverse team at MediShout shares a common goal: making healthcare operations more efficient for the benefit of both the patient and hospital staff. MediShout employees are located across the UK, and we have a registered office in London, supporting a hybrid working format. MediShout collaborates with carefully selected consultants across Europe who operate on a remote basis.

6. Our Supply Chain

Due to the nature of our business, we assess ourselves to have a low risk of modern slavery across our organisation and supply chains. Our suppliers are limited and largely restricted to cloud based services.

We procure goods and services from a restricted range of UK and overseas suppliers, contracting with those listed in UK government frameworks, where possible. We undertake due diligence when considering new suppliers and regularly review our existing suppliers.

Our due diligence processes include:

  • Supplier Assessment: We assess potential and existing suppliers based on their commitment to ethical practices, including their policies on modern slavery. This may involve questionnaires, direct communication, and, where appropriate, audits.

  • Contractual Clauses: Our contracts with suppliers include clauses requiring compliance with all applicable anti-slavery and human trafficking laws and regulations.

  • Monitoring and Risk Assessment: We continually monitor our supply chain to understand and map areas of risk.

7. Our Policies on Slavery and Human Trafficking

Medishout is committed to acting ethically and with integrity in all our business dealings. We have a zero-tolerance approach to modern slavery and are committed to implementing and enforcing effective systems and controls to ensure modern slavery is not taking place anywhere in our own business or in any of our supply chains.

Our key policies that underpin our commitment include:

  • Whistleblowing Policy: We encourage all employees, customers, and other business partners to report any concerns related to our direct activities or supply chains. This includes any circumstances that may give rise to a risk of modern slavery or human trafficking. Our whistleblowing procedure is designed to protect whistleblowers.

  • Supplier Policy: We expect all our suppliers to adhere to the highest ethical standards, including compliance with all applicable laws and regulations concerning labour practices, human rights, and modern slavery.

  • Human Resources and Recruitment Policy: We operate robust recruitment policies, including conducting eligibility to work in the UK checks for all employees, to safeguard against human trafficking or individuals being forced to work against their will.

8. Risk Assessment and Management

Whilst MediShout considers its exposure to slavery and human trafficking to be relatively limited, we have taken steps to ensure that such practices do not take place within our business, those of our partners, or any organisation that supplies goods and/or services to us.

Medishout identifies that the primary areas of potential risk for modern slavery within our operations are:

  • Direct Employment: While our internal recruitment processes are robust, we continuously review them to ensure compliance with all labour laws and to prevent any form of forced labour.

  • Supply Chain: The most significant risk lies within our extended supply chain, particularly with third-party manufacturers of medical devices and IT hardware, which may operate in regions with higher risks of labour exploitation.

To mitigate these risks, we:

  • Prioritise suppliers who demonstrate strong ethical labour practices and transparency.

  • Maintain ongoing communication with key suppliers regarding their labour standards.

  • Monitor news and reports concerning modern slavery risks in relevant industries and geographical areas.

9. Training

To ensure a high level of understanding of the risks of modern slavery and human trafficking in our supply chains and our business, we provide training to all members of staff. MediShout employees are made aware of our policies and the importance of reporting any concerns.

10. Monitoring and Evaluation

When evaluating the effectiveness and adequacy of this statement, the following criteria is considered:

  • Number of employees trained on modern slavery awareness.

  • Number of new suppliers screened against modern slavery criteria.

  • Number of modern slavery concerns raised and addressed through our whistleblowing mechanism.

  • Review of supplier contracts to ensure inclusion of modern slavery clauses.

  • Regular maintenance of our suite of policies and procedure documentation as part of management review meetings.

  • Monitor changes in legal, regulatory, contractual and other requirements.
